Wholesale Terms

Thank you for your interest in partnering with Whereto®.

Whereto Design LLC works with boutiques, gift shops, museums, visitor destinations, military exchanges, and other approved retailers seeking thoughtfully designed, destination-inspired products for everyday use and meaningful gifting.

Whereto® is operated by Whereto Design LLC. The Whereto® trademark is owned by Happy Manta, Inc.

1. Scope of These Terms

These Wholesale Terms apply to wholesale orders placed directly with and accepted by Whereto Design LLC, including orders submitted through an approved wholesale inquiry, direct invoice, email, purchase order, or another direct ordering method provided by us.

These Wholesale Terms, together with the applicable accepted quotation, invoice, purchase order acknowledgment, order confirmation, or other written order-specific terms, govern each direct wholesale transaction. If an expressly accepted order-specific term conflicts with these Wholesale Terms, the order-specific term will control only for that particular order.

Orders placed through Faire or another third-party wholesale marketplace are governed by that marketplace’s applicable terms, payment procedures, cancellation rules, shipping requirements, returns process, claims procedures, and order-specific information.

When marketplace terms conflict with these Wholesale Terms, the marketplace’s terms will control for orders placed through that marketplace.

Purchases of bulk or multi-unit packs through our public retail storefront or a third-party retail marketplace are considered retail purchases unless expressly accepted by Whereto Design LLC as wholesale orders. These purchases do not automatically establish a wholesale account, authorized-retailer relationship, territorial exclusivity, or entitlement to wholesale pricing.

2. Wholesale Account Approval

Wholesale purchasing is available only to approved businesses purchasing products for commercial resale.

We may request information reasonably necessary to review an application, including:

  • Business name and contact information
  • Store location or retail website
  • Resale certificate or tax-exemption documentation
  • Business license or registration information
  • Intended sales channels
  • References or purchasing history
  • Information about the types of products and quantities requested

Submitting a wholesale inquiry does not guarantee approval.

We reserve the right to approve, decline, suspend, or close a wholesale account when reasonably necessary, including for nonpayment, unauthorized resale, misleading information, policy violations, misuse of our intellectual property, or conduct that may harm the Whereto® brand.

Wholesale approval does not provide geographic exclusivity, a protected territory, or an exclusive product assortment unless expressly agreed in writing.

3. Product Availability

Products, designs, materials, colors, packaging, case quantities, and assortments are subject to availability.

We may:

  • Add or discontinue products
  • Update product specifications
  • Change packaging or case quantities
  • Limit quantities
  • Substitute updated packaging where the product itself remains materially the same
  • Decline an order when inventory or production capacity is unavailable

Product photographs are provided for general representation. Minor differences in color, artwork placement, texture, finish, packaging, or production may occur and are not necessarily defects.

4. Minimum Orders and Case Quantities

Opening-order minimums, reorder minimums, case quantities, and product-specific minimum order quantities may vary.

Current minimums and case quantities will be shown on the applicable wholesale platform, line sheet, price list, order form, quotation, or invoice.

Retailers are responsible for ordering in the required case quantities or multiples shown for each product.

We may approve lower quantities, mixed cases, or special assortments on a case-by-case basis. Approval of an exception for one order does not require us to provide the same exception for future orders.

5. Wholesale Pricing and Suggested Retail Prices

Wholesale prices are provided to approved retailers through our wholesale platform, line sheet, quotation, order form, or invoice.

Prices may change due to material costs, production costs, freight, tariffs, currency changes, supplier pricing, or other business considerations.

The price shown on an accepted order, invoice, or marketplace order confirmation will control for that transaction.

Any manufacturer’s suggested retail price, or MSRP, provided by us is a suggested price intended to support consistent brand positioning. Unless otherwise agreed or permitted by applicable law, retailers independently determine the final prices charged to their customers.

Wholesale prices, retailer-specific discounts, and unpublished price lists should be treated as confidential business information and should not be publicly displayed or distributed.

6. Taxes and Resale Documentation

Approved retailers are responsible for providing valid resale, tax-exemption, or similar documentation when required.

If valid documentation is not provided, applicable sales or transaction taxes may be charged.

Retailers remain responsible for their own:

  • Business registrations
  • Resale permits
  • Sales-tax collection and reporting
  • Import duties
  • Customs requirements
  • Local licenses
  • Regulatory obligations

Whereto Design LLC does not provide tax, legal, or regulatory advice to wholesale buyers.

7. Direct-Order Payment Terms

For direct wholesale orders, payment is required before production or shipment unless different payment terms have been approved in writing.

Approved payment arrangements may include:

  • Payment through an electronic invoice
  • Credit or debit card
  • Bank transfer
  • An approved payment processor
  • Written credit terms
  • Another agreed payment method

Net payment terms are not available unless expressly approved in writing or provided through an authorized wholesale marketplace.

Orders may be placed on hold or canceled when payment is incomplete, declined, overdue, disputed, or not received within the time specified on the invoice.

Retailers are responsible for bank charges, wire fees, currency-conversion charges, or other transaction costs imposed by their financial institution.

For orders placed through Faire, retailer payments and Whereto Design LLC’s payouts are handled through Faire under Faire’s applicable payment terms.

8. Order Acceptance

A purchase order, inquiry, cart submission, or requested quantity does not become a binding accepted order until it has been approved by Whereto Design LLC or confirmed through the applicable wholesale platform.

We may decline, limit, hold, or cancel an order because of:

  • Inventory or production limitations
  • Incorrect pricing or product information
  • Payment or verification issues
  • Shipping restrictions
  • Suspected fraud
  • Unauthorized resale activity
  • Previous account or policy violations
  • Circumstances outside our reasonable control

When we cancel a paid direct order, the amount collected for the canceled items will be refunded through the applicable payment method.

9. Changes and Cancellations

Requests to change or cancel a direct wholesale order must be submitted promptly.

Changes and cancellations are not guaranteed after an order has been approved, entered production, been allocated for fulfillment, or been shipped.

Made-to-order, customized, specially packaged, and bulk-produced items may become non-cancelable once production or preparation has begun.

Any approved change may affect:

  • Product availability
  • Pricing
  • Shipping charges
  • Production time
  • Expected shipment date

Orders placed through Faire must be changed or canceled through Faire’s applicable order-management process.

10. Production and Lead Times

Wholesale processing and production times vary by product, quantity, inventory location, and season.

Lead times provided on a quotation, invoice, line sheet, marketplace listing, or order confirmation are good-faith estimates and are not guaranteed delivery dates.

Some items may be available from ready-to-ship inventory, while others may require printing, production, replenishment, assembly, or transfer between fulfillment locations.

We will make reasonable efforts to communicate material delays. A production or shipping delay does not automatically entitle a buyer to cancel an order that has already entered production.

11. Shipping and Fulfillment

Direct wholesale orders may ship from one or more authorized U.S.-based production, warehouse, or fulfillment locations.

Products in the same order may be shipped separately and may have different tracking numbers, carriers, or delivery dates.

Unless otherwise stated in writing:

  • Shipping and handling charges are the retailer’s responsibility.
  • Shipping charges may be quoted separately from product charges.
  • Freight estimates may change based on final carton dimensions, weight, destination, carrier rates, or special handling.
  • Expedited shipping is subject to availability and additional charges.
  • Delivery dates are estimates rather than guarantees.
  • The retailer is responsible for providing a complete and accurate delivery address.

Additional charges resulting from an incorrect address, refused shipment, failed delivery, storage, redelivery, address correction, or remote-area service may be charged to the retailer.

An address appearing on a shipping label may belong to a production or fulfillment partner. It should not be used as a return address unless written authorization and instructions have been provided.

12. Inspection of Direct Wholesale Orders

Retailers should inspect direct wholesale shipments promptly after delivery.

Claims involving damaged, defective, missing, incomplete, or incorrectly fulfilled direct orders must be submitted within five calendar days of delivery.

The claim should include:

  • Invoice or order number
  • A description of the issue
  • Product names and quantities affected
  • Clear photographs of the products
  • Photographs of the shipping carton and internal packaging
  • A photograph of the shipping label
  • Any visible carrier-damage notation

Products and packaging should be retained until the claim has been reviewed.

Failure to provide reasonable documentation may delay or prevent approval of a claim.

13. Direct Wholesale Returns and Resolutions

Except where otherwise agreed in writing or required by applicable law, direct wholesale orders are final and are not returnable because of over-ordering, slow sales, buyer preference, or change of mind.

When a direct order is confirmed to have been damaged, defective, incomplete, or incorrectly fulfilled, Whereto Design LLC may provide an appropriate resolution, which may include:

  • Replacement
  • Replacement of the affected quantity
  • Refund
  • Account credit
  • Partial credit
  • Another mutually agreed resolution

A physical return may not always be required.

Do not return merchandise unless Whereto Design LLC has first provided written return authorization and specific instructions.

Unauthorized returns sent to a mailing address, production partner, warehouse, carrier, or package sender may be refused, delayed, lost, or returned to the retailer.

14. Faire and Other Marketplace Orders

Wholesale orders placed through Faire must be managed through the retailer’s Faire account.

This includes:

  • Payments and payment terms
  • Order changes
  • Cancellation requests
  • Shipping charges
  • Returns
  • Damaged-item reports
  • Missing-item reports
  • Refunds and credits
  • Marketplace disputes

Retailers should submit claims through Faire within the reporting period shown in their Faire account and communicate through Faire Messenger when appropriate.

Faire’s current terms and policies—not the five-day direct-order reporting period above—apply to Faire orders.

Orders placed through another third-party wholesale marketplace are subject to that marketplace’s corresponding procedures and deadlines.

15. Custom and Special Orders

Custom artwork, destination-specific products, private-label requests, special packaging, exclusive assortments, and modified products are reviewed individually.

Custom orders may require:

  • A separate quotation
  • Artwork or setup fees
  • A deposit or full advance payment
  • Minimum production quantities
  • Longer lead times
  • Written artwork approval
  • Separate cancellation terms

Custom, personalized, private-label, or specially produced products are generally non-cancelable and non-returnable after design approval or production begins, except where the products are damaged, defective, or incorrectly produced.

All custom-order details must be confirmed in writing.

16. Authorized Resale

Wholesale products are supplied for resale to end customers through the approved retailer’s disclosed sales channels.

Unless written approval has been provided, retailers may not:

  • Resell Whereto® products to another wholesaler or distributor
  • Represent themselves as an owner, agent, franchisee, or exclusive distributor of Whereto®
  • Sell through unauthorized third-party marketplaces
  • Use Whereto® products for unauthorized drop-shipping
  • Remove or alter branding, labels, packaging, attribution, or product-identification information
  • Repackage products in a manner that misrepresents their origin
  • Sell counterfeit, altered, copied, or materially modified versions of our products

Retailers may sell through their own approved physical store or retail website.

Resale through Amazon, Walmart Marketplace, eBay, Temu, or another third-party marketplace requires prior written approval from Whereto Design LLC.

17. Product Images and Intellectual Property

Whereto® is a registered trademark owned by Happy Manta, Inc.

Unless otherwise stated, artwork, illustrations, product designs, photographs, graphics, text, and other creative materials associated with Whereto® products are owned by or used with permission from the applicable rights holder.

Approved retailers may use product photographs and descriptions supplied by Whereto Design LLC solely to advertise and resell authentic Whereto® products purchased through an authorized wholesale relationship.

Retailers may not:

  • Alter the artwork or trademark
  • Remove ownership notices
  • Create derivative products
  • Manufacture products using the artwork
  • Provide image or design files to another manufacturer
  • Register confusingly similar names, domains, social accounts, or trademarks
  • Use Whereto® intellectual property after the wholesale relationship ends, except to sell remaining authentic inventory as permitted in writing

Purchasing wholesale merchandise does not transfer ownership of any trademark, copyright, artwork, design, photograph, or other intellectual-property right.

18. No Exclusivity

Wholesale approval does not grant exclusivity based on territory, store type, destination, product, customer group, or sales channel.

Any exclusivity arrangement must be stated in a separate written agreement signed by Whereto Design LLC.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Whereto Design LLC and its affiliated rights holders will not be responsible for indirect, incidental, special, punitive, or consequential damages arising from a wholesale transaction, including lost profits, lost sales, business interruption, or loss of opportunity.

For a direct wholesale order, any liability that cannot legally be excluded will be limited to the amount paid for the affected products, except where a greater remedy is required by applicable law.

20. Changes to These Terms

We may update these Wholesale Terms periodically.

Updated terms will apply to new direct wholesale orders accepted after the revised terms are posted. An already accepted direct order will generally remain subject to the terms in effect when it was accepted, unless the parties agree otherwise in writing.

Marketplace orders remain subject to the marketplace terms applicable to those orders.

21. Governing Law

Unless otherwise agreed in writing, direct wholesale transactions with Whereto Design LLC will be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where another law mandatorily applies.
